These Terms of Service (“Terms”) govern your access to and use of GMC Medic, a software-as-a-service platform operated by Nyvion LLC, a Missouri limited liability company doing business as “GMC Medic” (“we,” “us,” “our,” or “the Company”).
Please read these Terms carefully. By creating an account, subscribing to a paid plan, or otherwise using GMC Medic, you agree to be bound by these Terms. If you don't agree, don't use the Service.
If you are entering these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
A note on accountability. GMC Medic is operated by Nyvion LLC. If you have questions about these Terms, the Service, or anything that doesn't match what you see in the product, email support@getgmcmedic.com. We respond personally — no support queue, no chatbot in the middle.
1. The Service
GMC Medic is a compliance tool for Shopify merchants. It diagnoses and helps resolve Google Merchant Center suspensions and policy violations through automated scanning, plain-language findings, and appeal letter generation. (For the full background on why we built this, see our About page.)
The Service includes:
- •Automated scanning of your Shopify product catalog and GMC account against published Google policies.
- •Generation of compliance findings, severity scoring, and recommended fixes for your review.
- •Drafting of appeal letters for suspended GMC accounts, for your review and submission.
- •Detection of identity, policy, pricing, and inventory signals across your storefront, WHOIS records, and SSL certificates.
- •Transactional email notifications about your account and scans (including scan completion, billing, and account-status changes).
- •Historical scan reports and a compliance dashboard.
Two trust commitments we make as part of the Service:
- •We never auto-submit appeals to Google on your behalf. Every appeal letter we draft requires your review and your action to send.
- •We never auto-apply fixes to your Shopify store. Every recommended change requires your explicit, per-fix approval. The Service shows you what could be changed; you decide whether to change it.
2. Eligibility and Account Registration
To use GMC Medic, you must:
- •Be at least 18 years of age (or the age of majority in your jurisdiction).
- •Have the legal authority to enter into a binding contract.
- •Operate a Shopify store, or be authorized to act on behalf of a merchant who does.
- •Provide accurate, current, and complete account information.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@getgmcmedic.com if you suspect unauthorized access.
3. Subscription Plans and Pricing
GMC Medic is offered on the following plans:

The specific features included in each plan are described on our pricing page and may evolve as we ship new capabilities. We will provide at least 30 days' notice by email before reducing or removing any feature you currently rely on.
All prices are in US dollars. Applicable taxes (including EU VAT where required) will be added at checkout.
3.1 Auto-Renewal of Subscription Plans
Guardian and Shield are auto-renewing monthly subscriptions. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. Your subscription will renew automatically at the same price unless we notify you of a price change in accordance with Section 3.2.
For California residents (California Automatic Renewal Law disclosure): Your subscription will continue and your payment method will be charged automatically every month at the price set forth above (plus applicable taxes) until you cancel. You may cancel at any time by visiting your account billing portal or by emailing support@getgmcmedic.com. Cancellation takes effect at the end of the current billing period.
3.2 Changes to Pricing
We may change subscription pricing with at least 30 days' advance notice by email to the address associated with your account. Price changes do not apply to billing periods already paid for. If you do not agree to a price change, you may cancel before it takes effect.
3.3 Payment Processing
Payments are processed by Stripe. We do not store your full payment card details. You agree to provide accurate and current billing information and to update us when it changes.
If a payment is declined or chargeback is initiated, we may suspend or terminate your account in accordance with Section 9.
4. Refunds and Cancellation
Refund and cancellation terms are set out in our Refund & Cancellation Policy, which is incorporated into these Terms by reference. In summary:
- •New subscriptions: 14-day money-back guarantee on your first subscription payment.
- •Ongoing subscriptions: Cancel anytime; access continues through the end of the paid billing period; no partial refunds for unused time.
- •EU/UK consumers: You have a separate statutory 14-day right of withdrawal under EU Consumer Rights Directive 2011/83/EU and UK Consumer Contracts Regulations 2013. See the Refund & Cancellation Policy for details and how this interacts with our money-back guarantee.
5. Your Responsibilities and Acceptable Use
GMC Medic is a tool for legitimate Shopify merchants to evaluate and remediate their own compliance issues. Some things are out of scope. Specifically, don't:
- •Use the Service to scan a Shopify store, GMC account, or storefront you do not own or have express authorization to access.
- •Apply changes to your Shopify store without reviewing them, even though all changes require your per-fix approval — you remain responsible for what you publish.
- •Submit appeal letters to Google that contain factually false statements. Our appeal generator drafts based on the information you provide; you are responsible for the accuracy of any submission.
- •Use the Service to violate any applicable law, including consumer protection, advertising, intellectual property, or anti-fraud law.
- •Use the Service to engage in fraudulent or deceptive business practices.
- •Reverse-engineer, decompile, scrape, copy, or attempt to derive the source code of any part of the Service.
- •Access the Service through automated means (bots, scripts, crawlers) other than the documented APIs we expose to you.
- •Share, sell, sublicense, rent, or resell access to your account.
- •Attempt to circumvent any usage limits, rate limits, or access controls.
- •Submit malicious code, content intended to harm other users, or content that infringes third-party rights.
We may suspend or terminate accounts engaged in any of the foregoing without prior notice.
You are solely responsible for the accuracy and legality of the content in your Shopify store and GMC account. GMC Medic provides analysis and recommendations; final decisions to publish changes or submit appeals rest entirely with you.
6. AI-Generated Content
GMC Medic uses AI models (provided by Anthropic) to analyze your store content and generate findings, recommended fixes, and appeal letter drafts. A few things you should know about what that means:
- •AI-generated content may contain errors, omissions, or recommendations that are not appropriate for your specific circumstances.
- •You are responsible for reviewing any AI-generated content before relying on it, publishing it, or submitting it to a third party (including Google).
- •We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.
- •AI-generated text is not legal, financial, or compliance advice, and is not a substitute for advice from a qualified professional.
We work to keep the underlying AI analysis current with published Google Merchant Center policies, but Google's policies and enforcement standards change, and we can't guarantee our findings reflect Google's latest interpretation on any given day.
7. No Guarantee of Results
We make no guarantee that:
- •Your GMC account will be reinstated, approved, or remain in good standing.
- •Appeal letters generated through the Service will be accepted by Google.
- •Applying our recommended fixes will result in any specific compliance outcome.
- •Your compliance score will improve following recommended changes.
- •Google will not introduce new policies that affect your store after a scan.
Google's policies, enforcement decisions, and reinstatement processes are entirely within Google's discretion and are not controlled by GMC Medic. Results vary by store, account history, and Google's evolving enforcement standards. Past outcomes for other users are not indicative of your results.
8. Intellectual Property
8.1 Our IP
GMC Medic — including the underlying software, design, branding, logos, and documentation — is owned by Nyvion LLC and protected by US and international intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You may not copy, modify, distribute, sell, license, or create derivative works of any part of the Service without our prior written consent.
8.2 Your Content
You retain all ownership of your store data, product listings, business information, and any content you submit to the Service (“Your Content”).
You grant GMC Medic a limited, worldwide, royalty-free license to access, process, store, and transmit Your Content solely to operate the Service on your behalf. This license terminates when you delete the data or close your account, except as needed to comply with legal obligations (e.g., retaining billing records).
8.3 Feedback
If you send us feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use that feedback to improve the Service, without any obligation to compensate or credit you.
9. Suspension and Termination
9.1 By You
You may cancel your subscription at any time through your account billing portal or by emailing support@getgmcmedic.com. Cancellation takes effect at the end of your current billing period.
You may also delete your account entirely. Account deletion is irreversible. Upon deletion, your stored data will be removed within 30 days, except where retention is required by law.
9.2 By Us
We may suspend or terminate your account, with or without notice, if:
- •You materially breach these Terms.
- •We have a reasonable belief that you are engaged in fraudulent, abusive, or unlawful activity.
- •Your account creates a security risk to the Service or other users.
- •A payment fails and is not cured within 14 days of notice.
- •We are required to do so by law.
We may also discontinue the Service entirely or any feature of it, with at least 30 days' notice for material discontinuations.
9.3 Effect of Termination
Upon termination, your right to access the Service ends. Sections that by their nature should survive (including IP, disclaimers, limitations of liability, governing law, and indemnification) will survive termination.
10. Disclaimers
The legal language below is conventional warranty-disclaimer wording with specific weight under US contract law. Plain-English version: we cannot guarantee Google's behavior or the outcome of any specific appeal, and we're disclaiming warranties accordingly. The full disclaimer follows.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
GMC MEDIC IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY GOOGLE LLC, SHOPIFY INC., OR ANY OTHER THIRD-PARTY PLATFORM. “GOOGLE MERCHANT CENTER” IS A TRADEMARK OF GOOGLE LLC. “SHOPIFY” IS A TRADEMARK OF SHOPIFY INC. Trademark references are nominative and do not imply endorsement.
Nothing in these Terms is intended to exclude or limit any warranty or right that cannot be excluded or limited under applicable law. For EU/UK consumers, your statutory consumer rights are not affected by anything in these Terms.
11. Limitation of Liability
The legal language below establishes the maximum amount we can be held liable for and what categories of damages are excluded. Plain-English version: our exposure is capped at the greater of fees you've paid us in the last 12 months or $100, and we're not liable for indirect damages like lost profits, revenue, or business opportunities. The full clause follows.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- •NYVION LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
- •WE WILL NOT BE LIABLE FOR ACTIONS TAKEN BY GOOGLE, SHOPIFY, OR ANY OTHER THIRD PARTY IN RESPONSE TO CHANGES YOU MAKE THROUGH THE SERVICE.
- •OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not enforceable, our liability is limited to the maximum extent permitted by law. For EU/UK consumers, nothing in this Section limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully limited.
12. Indemnification
You agree to defend, indemnify, and hold harmless Nyvion LLC, its officers, employees, contractors, and affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- •Your use or misuse of the Service.
- •Your violation of these Terms.
- •Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
- •The content you publish to your Shopify store or submit to Google through the Service.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
13. Privacy and Data Processing
Your use of the Service is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. Both are incorporated into these Terms by reference.
14. Governing Law
These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law provisions.
Exception for EU/UK consumers: If you are a consumer in the European Economic Area or the United Kingdom, you have the right to bring claims under the mandatory consumer protection laws of your country of residence, and nothing in this Section affects that right. The choice of Missouri law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.
15. Disputes and Arbitration
15.1 Informal Resolution
Before filing any formal claim, you agree to first contact us at support@getgmcmedic.com and attempt to resolve the dispute informally. We will respond within 30 days. If we cannot resolve the dispute within 60 days, either party may proceed to formal resolution.
15.2 Binding Arbitration (US Users)
For US users, any dispute that cannot be resolved informally will be resolved by binding individual arbitration in Missouri, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court for matters involving intellectual property or unauthorized use of the Service.
No class actions. You and we agree that disputes will be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.
15.3 Exception for EU/UK Consumers
If you are a consumer in the European Economic Area or the United Kingdom, the arbitration clause in Section 15.2 does not apply to you. You may bring claims in the courts of your country of habitual residence, and we may bring claims against you only in those courts.
The European Commission also provides an online dispute resolution platform at ec.europa.eu/consumers/odr, though we generally prefer to resolve disputes directly via email.
16. Force Majeure
We will not be liable for failure or delay in performing under these Terms caused by events outside our reasonable control, including natural disasters, acts of war or terrorism, civil disturbances, government actions, labor disputes, internet or telecommunications failures, third-party service outages, or pandemics.
17. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets, with notice to you.
18. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
19. Waiver
Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision.
20. Entire Agreement
These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Cookie Policy, and (where applicable) Data Processing Agreement, constitute the entire agreement between you and Nyvion LLC regarding the Service, and supersede any prior agreements.
21. Changes to These Terms
We update these Terms when our practices change or when applicable law changes. The “Effective” date at the top reflects when the current version took effect. For material changes, we email you at least 30 days before the change takes effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you don't agree, you may cancel your subscription before the new Terms take effect.
